1. Services

 

Send Lab LLC provides email, SMS, and retention marketing services on both a one-time and retainer basis. Service details, scope, and specific obligations will be outlined in individual contracts.

 

We reserve the right to modify or discontinue any service at any time without prior notice, provided that such changes do not impact active contractual agreements.

2. Payments & Fees

 

• Payment terms vary depending on the scope of work and the agreement between the Company and the Client.

• The Company, in its sole discretion and at any time, may modify the Subscription fees. Any Subscription fee change will become effective at the end of the then-current Subscription period.

• The Company will provide You with reasonable prior notice of any change in Subscription fees to give You an opportunity to terminate Your Subscription before such change becomes effective.

• Your continued use of the Service after the Subscription fee change comes into effect constitutes Your agreement to pay the modified Subscription fee amount.

• Accepted payment methods include ACH and credit card transactions.

• You shall provide the Company with accurate and complete billing information including full name, address, state, zip code, telephone number, and a valid payment method information.

• Should automatic billing fail to occur for any reason, the Company will issue an electronic invoice indicating that you must proceed manually, within a certain deadline date, with the full payment corresponding to the billing period as indicated on the invoice.

• Late fees apply as stated in the contract.

Refund Policy

• Refunds are not provided unless explicitly stated in the signed contract.

 

3. Client Responsibilities

 

By using our services, the Client agrees to:

 

• Provide accurate and complete information necessary for campaign execution.

• Adhere to all applicable marketing regulations, including but not limited to CAN-SPAM, TCPA, and GDPR (if applicable).

• Obtain proper consent for SMS, email, and other marketing communications.

 

Send Lab LLC is not liable for any compliance issues arising from the Client’s failure to adhere to these regulations.

 

4. Ownership of Marketing Materials

 

• The Client retains ownership of all marketing materials created by Send Lab LLC for their campaigns.

• Send Lab LLC reserves the right to use these materials for promotional or portfolio purposes unless otherwise agreed in writing.

 

Intellectual Property 

• Send Lab LLC and its original content (excluding Content provided by You or other users), features and functionality are and will remain the exclusive property of the Send Lab LLC and its licensors.

• Send Lab LLC is protected by copyright, trademark, and other laws of both the Country and foreign countries.

• Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of the Company.

5. Data Collection & Privacy

 

We collect and store basic client information, including but not limited to:

• Name, address, business details, brand guidelines, and marketing materials.

 

Data Security

• We implement 2FA and secure data storage practices to safeguard client data.

• We do not sell or share client data with third parties without explicit permission.

6. Liability Disclaimer & Indemnification

• Send Lab LLC does not guarantee specific marketing results unless explicitly stated in a signed contract.

• We are not liable for business losses, reputational damage, or revenue loss due to marketing campaign performance.

• Clients agree to hold Send Lab LLC harmless against any claims, damages, or liabilities arising from the use of our services.

• To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Service, third-party software and/or third-party hardware used with the Service, or otherwise in connection with any provision of this Terms), even if the Company or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.

• Some states do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply. In these states, each party's liability will be limited to the greatest extent permitted by law.

 

7. Termination & Cancellation

• Clients may cancel services at any time, unless otherwise restricted by the contract.

• Send Lab LLC reserves the right to terminate a service agreement at its discretion if the Client violates these Terms.

• Upon termination, Your right to use the Service will cease immediately.

8. Governing Law & Dispute Resolution

• These Terms are governed by the laws of the State of Colorado

• If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company.

• If You are a European Union consumer, you will benefit from any mandatory provisions of the law of the country in which You are resident.

9. Changes to These Terms

 

Send Lab LLC may update these Terms at any time. Continued use of our services after changes constitutes acceptance of the revised Terms.
